Terms of Service

By creating an account, uploading documents, or accessing any part of the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms form a legally binding agreement between you and Reinforcement Analytics.

If you are accessing the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms, and the word "you" refers to that organisation.

• "Service"ArthaDNA, accessible at invest.reinforcementanalytics.in and associated APIs, mobile or web applications.
• "We / Us / Company"Reinforcement Analytics, incorporated in India.
• "User" / "you"Any individual or organisation that registers for or uses the Service.
• "Consumer User"An individual using the Service for personal financial management (B2C).
• "Business User"A company, financial advisory firm, or developer accessing the Service for commercial purposes, including via the API (B2B).
• "Content"All data, insights, reports, analytics, and outputs generated by or displayed within the Service.
• "Portfolio Data"Financial holdings, transactions, NAVs, and related information you upload or sync.

You must be at least 18 years old and legally capable of entering into a binding contract under Indian law to use the Service. By registering, you confirm you meet these requirements.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@reinforcementanalytics.in if you suspect unauthorised access.

You may not create multiple accounts to circumvent usage limits, feature restrictions, or subscription tiers. We reserve the right to merge or terminate duplicate accounts.

ArthaDNA provides AI-powered portfolio analytics, financial health scoring, macro market indicators, and wealth projections for informational and educational purposes only. Nothing on the platform constitutes investment advice, a solicitation, or an offer to buy or sell any securities or financial products. See our Investment Disclaimer for full details.

You are solely responsible for your investment decisions. We strongly recommend consulting a SEBI Registered Investment Adviser before making any investment decisions based on outputs from the Service.

The Service is provided on a best-effort basis. We do not guarantee uninterrupted availability. Scheduled maintenance and emergency downtime may occur. Refer to Section 12 for Service Level commitments applicable to Business Users.

All intellectual property rights in the Service — including software, algorithms, AI models, design, text, graphics, and trademarks — are owned by or licensed to Reinforcement Analytics. Nothing in these Terms transfers any IP rights to you.

You retain ownership of your Portfolio Data. By uploading data to the Service, you grant us a limited, non-exclusive, royalty-free licence to process, store, and analyse that data solely to provide the Service to you.

We may use anonymised and aggregated usage patterns and portfolio statistics to improve our AI models and product. This data cannot be traced back to any individual.

You agree not to:

• Reverse-engineer, decompile, or disassemble any part of the Service
• Scrape, crawl, or harvest data without our prior written consent
• Upload malicious files, viruses, or code designed to disrupt the Service
• Attempt to gain unauthorised access to other users' accounts or data
• Use the Service to provide unlicensed investment advice or financial planning services to third parties without our consent and appropriate SEBI registration
• Use the Service for any unlawful purpose, including money laundering or fraud
• Circumvent rate limits, subscription paywalls, or access controls
• Misrepresent affiliation with ArthaDNA or Reinforcement Analytics
• Resell, sublicense, or white-label the Service without an explicit commercial agreement

Violation of these prohibitions may result in immediate account suspension, permanent ban, and legal action where warranted.

Paid plans are billed in advance on a monthly, semi-annual, or annual cycle via Razorpay. All prices are in Indian Rupees (INR) and inclusive of applicable GST where required.

Subscriptions auto-renew at the end of each billing cycle unless cancelled before the renewal date. You will receive an email reminder 7 days before renewal.

We reserve the right to change subscription pricing with 30 days' notice. Price changes take effect at the next renewal cycle. Continued use after the effective date constitutes acceptance of new pricing.

Credit packs (for one-time features such as additional portfolio slots or on-demand reports) are non-recurring and expire 12 months from purchase.

You are responsible for all applicable taxes over and above our listed prices where we are not legally required to collect them (e.g., for Business Users in certain jurisdictions outside India).

Refund requests: email support@reinforcementanalytics.in with your registered email and Razorpay payment ID.

To the fullest extent permitted by applicable law, Reinforcement Analytics and its officers, directors, employees, and agents shall not be liable for any:

• Investment losses or financial decisions made in reliance on the Service
• Indirect, incidental, special, consequential, or punitive damages
• Loss of data, revenue, profits, goodwill, or business opportunity
• Unavailability of the Service due to third-party outages (cloud providers, APIs)

Our total aggregate liability for any claim arising under these Terms shall not exceed the greater of (a) the total fees paid by you in the 12 months preceding the claim, or (b) ₹1,000 INR.

The Service is provided "as is" and "as available", without warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

You agree to defend, indemnify, and hold harmless Reinforcement Analytics and its affiliates from any claims, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to:

• Your use or misuse of the Service
• Your violation of these Terms or applicable law
• Your Portfolio Data infringing any third-party rights
• Any investment advice you provide to third parties using outputs from the Service

The Service integrates with or links to third-party services (Razorpay, Supabase, Anthropic, Resend, etc.). Your use of these services is subject to their own terms and privacy policies. We are not responsible for the content, availability, or practices of third-party services.

We are not responsible for the accuracy of NAV data, index prices, or macro indicators sourced from AMFI, NSE, or other public data providers.

You may cancel your account at any time from Settings. Upon cancellation, your data will be retained for 30 days to allow export, after which it will be permanently deleted subject to legal retention obligations (see our Privacy Policy).

We may suspend or terminate your account immediately, without notice, if you: violate these Terms; engage in fraudulent activity; fail to pay fees when due; or if we are legally required to do so.

Provisions that by their nature should survive termination (Sections 5, 9, 10, 14, 15) remain in effect after termination.

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles. Subject to Section 15, the courts of Bengaluru, Karnataka shall have exclusive jurisdiction over any dispute arising under these Terms.

The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply to these Terms.

Consumer Users: We encourage you to contact us first at support@reinforcementanalytics.in. We will make a good-faith effort to resolve your concern within 14 business days. If unresolved, you may approach the National Consumer Disputes Redressal Commission (NCDRC) or relevant Consumer Forum.

Business Users: Any dispute arising from or relating to these Terms shall be finally resolved by binding arbitration administered under the Arbitration and Conciliation Act, 1996 (India). A sole arbitrator appointed by mutual agreement shall conduct proceedings in English in Bengaluru. The arbitral award shall be final and binding.

We may update these Terms from time to time. For material changes, we will notify you by email and display a notice on the platform at least 14 days before the changes take effect. Non-material changes (e.g., typographical corrections, clarifications) take effect immediately.

Continued use of the Service after the effective date constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your account.
